Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between Navionra Ltd ("Navionra", "we", "us") and you or the organisation you represent ("Customer", "you") governing access to and use of the Navionra legal practice management platform ("Service"). By signing up, you confirm that you have authority to bind the organisation and agree to these Terms.
2. Service description
Navionra is a cloud-based software-as-a-service (SaaS) platform providing legal document management, AI-assisted legal research and compliance tooling, KYC/AML compliance, e-Discovery, billing, and related features as specified in your chosen subscription plan.
Features available to you depend on your subscription plan (Starter, Professional, or Enterprise). We may add, modify, or deprecate features with reasonable notice.
3. Account responsibilities
- You are responsible for maintaining the confidentiality of your credentials.
- You must promptly notify us of any unauthorised access at security@navionra.com.
- Each account is for a single named user; credential sharing is prohibited.
- You must not use the Service for any unlawful purpose or in violation of professional conduct rules applicable to your jurisdiction.
4. Subscriptions and billing
- Subscriptions are billed monthly or annually in advance via Stripe.
- A 14-day free trial is offered. No charges are made until the trial ends and you provide payment details.
- Plan upgrades take effect immediately; downgrades apply at the end of the current billing period.
- We reserve the right to change prices with 30 days' written notice. Continued use after the notice period constitutes acceptance.
- All fees are exclusive of VAT where applicable.
5. Cancellation and refunds
You may cancel at any time via Settings → Billing → Manage Subscription. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for unused portions of a subscription period except where required by law.
After cancellation, your data is retained for 90 days to allow re-activation, then permanently deleted. You may request an export of your data before deletion.
6. Your data and content
You retain all rights to documents and data you upload ("Customer Content"). You grant Navionra a limited licence to host, store, and process Customer Content solely to provide the Service. We do not claim ownership of or use Customer Content for any purpose other than service delivery.
AI processing:Customer Content may be transmitted to the Anthropic API for AI features (summarisation, Q&A, compliance analysis). Anthropic operates under a zero-data-retention policy for API customers. We never use your documents to train AI models.
7. Acceptable use
You agree not to:
- Attempt to gain unauthorised access to any system or data.
- Transmit malware, spam, or illegal content.
- Use the Service to facilitate money laundering, fraud, or any criminal activity.
- Reverse-engineer, decompile, or attempt to extract the Service's source code.
- Resell, sublicense, or white-label the Service without our written consent.
- Upload content that infringes third-party intellectual property rights.
We reserve the right to suspend accounts that violate these rules, with or without notice, depending on the severity of the violation.
8. Uptime and support
- Starter / Professional: We target 99.5% monthly uptime. No SLA is contractually guaranteed.
- Enterprise: 99.9% uptime SLA with remedies defined in your enterprise agreement.
- Support is provided by email (all plans) and live chat (Professional+). Response times: Standard 2 business days; Priority (Professional) 4 business hours.
9. Intellectual property
The Navionra platform, including all software, designs, trademarks, and documentation, is the exclusive property of Navionra Ltd. These Terms do not grant you any intellectual property rights in the Service other than the limited right to use it as described herein.
10. Limitation of liability
To the fullest extent permitted by law, Navionra' total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
Navionra shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.
Legal advice disclaimer: Navionra is a technology tool, not a law firm. AI-generated outputs do not constitute legal advice. Users are responsible for verifying AI outputs and complying with professional conduct obligations.
11. Governing law
These Terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to these Terms
We will notify you by email at least 30 days before making material changes. If you object to the changes, you may cancel your subscription before they take effect. Continued use after the effective date constitutes acceptance.
